Operating note

Corp-Merch.MX launch — formal operations from January 2026

After ten years running corporate merch projects in Mexico as part of the Swaggy Agency network, we formalise Corp-Merch.MX as a Mexican division with its own fiscal domicile, a production shop in CDMX, a plant network in Guadalajara and Monterrey, and national coverage with Estafeta, Paquetexpress, FedEx Mexico and DHL Mexico. This note describes what changes for the client and what stays the same compared with projects served through December 2025.

What changes with the formal launch

Through December 2025, projects with Mexican clients were run under Swaggy Agency's corporate entity in its Latin America regional office. From January 2026, every project in Mexico is invoiced with a Mexican RFC, fiscal domicile in Mexico City, and CFDI 4.0 stamped by a SAT-authorised PAC directly from the Mexican operation. This simplifies fiscal traceability for the client, removes the need for invoices with foreign resident withholding in most cases, and opens the door to operations that previously required ISR withholding per article 161 of the LISR.

The change is administrative, not operational. The same workshops that embroidered t-shirts keep embroidering. The same delivery times we honoured stay. The same people who handled your account keep handling it. The only thing that changes is the RFC that appears on the invoice and the supplier's fiscal domicile. For the corporate's accounts payable department, it means the invoice goes straight into SAT without an intermediate withholding step.

Five operational improvements from the launch

1. Native CFDI 4.0

Invoice issued directly by Corp-Merch.MX with fiscal domicile in CDMX, no foreign resident withholding step. 16% IVA itemised, payments complement for partial payments, Carta Porte 3.0 complement when goods cross the border.

2. Own production shop in CDMX

Own workshop in Mexico City for kit assembly, individual packaging, per-batch quality control and temporary warehousing. No third parties on the last operational mile.

3. Plant network across west and north

Mirror plants in Guadalajara for projects in the west and Monterrey for the north. Coverage across every Mexican postal code without subcontracting to non-audited workshops.

4. REPSE compliance for subcontractors

Every subcontracted embroidery, engraving and assembly workshop holds current REPSE registration, verified each fiscal year. The operating chain complies with the STPS protocol.

What stays the same

What does not change is the operating model: same person handling your account, same delivery lead time for the same brief complexity, same itemised IVA on the invoice, same product quality, same Carta Porte compliance when applicable. The client who had a program running with us in 2025 keeps operating exactly the same in 2026; the only thing that changes is the RFC on the invoice and the supplier's fiscal domicile.

Payment terms also stay the same. We keep accepting 30-day net terms with purchase order for clients on an annualised program, 15-day terms for clients with recurring orders, and advance payment for first orders. Commercial terms signed in 2025 stay in force until their next review.

How active clients learn about the change

Active clients in 2025 received, in November 2025, a formal letter with the notice of RFC change and confirmation that their commercial terms remain in force. The letter was accompanied by the new fiscal status certificate and the positive SAT compliance opinion, both valid as of January 1, 2026. The letter was delivered with acknowledgement of receipt so the client's accounts payable department had time to register the new RFC in their system before the March fiscal close.

For clients who closed projects in 2025 and have a new project in 2026, the notice is delivered together with the first quote on the new project. For prospective clients who have never worked with us, we simply invoice with the new RFC from the first CFDI.

Launch timeline

The formal launch runs in four phases. The first phase, in September 2025, was the opening of the operational workshop in CDMX and hiring of administrative and operational staff. The second phase, in November 2025, was the dispatch of notice letters to active clients with the new fiscal documentation. The third phase, in January 2026, was the formal start of operations under the new RFC and the opening of the plant network in west and north. The fourth phase, in March 2026, was the close of the first operational quarter with auditable KPIs and reporting to active clients.

The timeline was public from the start. Any active client who wanted to join the advance-notice phase could do so. The corporate's compliance area had three months to register the new RFC in their system before the first invoice of 2026.

FAQ — Corp-Merch.MX 2026 launch

Does the bank account number change?

Yes. The new RFC operates with a Mexican bank account at BBVA, Banorte or Santander. The CLABE is sent in the notice letter along with the new fiscal documentation. For clients on annualised programs, we update the purchase order with the new CLABE before the first payment of 2026.

Do pricing terms stay the same?

Yes. Prices agreed in 2025 stay in force for the first quarter of 2026. The first price review is scheduled for April 2026, aligned with the close of the first quarter for both client and us.

Does the product warranty change?

No. The one-year warranty for manufacturing or printing defects stays the same. If a piece arrives defective, we replace it at no cost in the next wave.

Can you keep serving clients under the previous RFC?

No. From January 2026, every invoice is issued under the new RFC. The previous operation closed its pending projects before December 31, 2025.

Where is the fiscal domicile for CFDI purposes?

The fiscal domicile is registered in Mexico City. The exact address is shared in the fiscal status certificate and on every CFDI we issue. For deliveries, the workshops in CDMX, GDL and MTY operate according to the project.
