Salon F-12: where the Perote-Banderilla highway financial close is signed and the alignment scale model lands before the morning coffee

Salon F-12 sits on the project finance floor of a Polanco tower: a main hall with oval table for 22 lenders and concessionaire officers, a lectern with LED wall for the project financial model (DCF model, debt service cover, DSCR, LLCR), terminals with the sponsor model, a one-on-one room with 6 soundproof individual cabins, a map room with the historical archive of highway, energy and water projects, a protocol kitchen and two pedestrian accesses: a main one with biometric turnstile and a service one with notarial logbook. This is where the financial closes of private-sector toll roads close, where Istmo and Bajio wind and solar farms close, where CFE combined-cycle plants close, where PPP aqueducts and treatment plants close, where Gulf and Pacific port and terminal projects close, where mass transit projects (cable cars, BRT, metro lines) close, and where brownfield operating-project refinancings close. What separates Salon F-12 is not the room but the cadence of the financial close: the alignment scale model arrives before coffee, the sponsor financial model is signed off by the lenders at close, and the international lender recognition crosses the border under USMCA compliance.

Salon F-12 logistics, access and financial model custody

Salon F-12 runs on a dedicated basement loading dock: heavy freight (boxes with merch, project scale model, financial close documentation) goes up the north-wing freight elevator with restricted hours and notarial logbook. Light freight goes up the service elevator with prior ID and club deal credential. The club deal operations team signs the merch entry and walks it to the one-on-one anteroom where it is staged on a side table. The bookbuilding room has a secure holding area with boxes sealed under the lead officer stamp for sensitive material (legal opinions, due diligence, main contracts), and the protocol kitchen has a locked cabinet for the international lender hospitality. The notary attesting to the financial close and to the main contract signatures has a dedicated cubicle, with paperwork on security paper and notarial seal.

For closings with international lender presence (typically US, Canada, Europe, Japan, China, South Korea, Brazil), we handle invoicing in USD at the Banco de Mexico FIX rate from the day before delivery, with USMCA compliance and support for deduction as Project Finance, Infrastructure Financing or Investment Banking expense in the concessionaire fiscal close. For closings with SHCP, SCT, SENER, SEMARNAT or CNBV official presence, we handle the club deal security protocol and the Policia Bancaria e Industrial protocol when applicable. The merch chain of custody is documented with signature, time stamp, photograph and seal number at every checkpoint.

Salon F-12 confidentiality, compliance and restrictions

Salon F-12 enforces operating rules the merch must respect: no phones in the main hall during club deal questions, no merch with noise or visual distraction elements, no backpacks inside the bookbuilding room (officers use lockers in the corridor), no POP material with third-party logos beyond the club deal and the concessionaire (per lender compliance), no outside food or beverage beyond the protocol kitchen service. For closings requiring limited-edition merchandising (numbered plate for the financial close, book signed by the concessionaire CEO tracing the project timeline, paperweight stamped with the operations start year), we coordinate with the club deal operations area to ensure the piece clears the security protocol, the compliance protocol and the transmission protocol when the close is internal and not broadcast.

For SAT invoicing we issue CFDI 4.0 with the 16% IVA breakdown and support for deduction as Project Finance, Infrastructure Financing or Investment Banking expense depending on how the merch is used. For concessionaires with IMMEX operations or US market exposure, we handle complementary invoicing in USD or EUR with USMCA compliance support when the merch crosses the border as part of the international lender resident abroad disclosure material. For closings with double-jurisdiction lender presence (IDB and IDB Invest, IFC and MIGA, US ExIm and DFC), we handle bilingual (es/en) invoicing and USMCA compliance when applicable. The merch ships with carta porte 3.0 when interstate or international transit applies, with the foreign trade complement when applicable, and with the payment complement when the concessionaire pays in instalments or against the financial closing.

Salon F-12 frequently asked questions

Can you deliver the financial close binder with a receipt signature per institution?

Yes — we deliver the binder with a receipt per lender institution (not per individual officer), signed by the club deal lead officer or the institution senior officer, with delivery time and the uniformed staff signature. The chain of custody is documented with photograph when club deal protocol allows, and the binder is held in sealed envelopes through the day for return at close.

Can you handle the merch for serial financial closings?

Yes — we run serial programming with the same concessionaire brand manual, scaling the run by project stage (close, construction, operations, refinancing) and invited lenders (original club deal, refinancers, insurers). Coordination with the concessionaire Finance director for the editorial curation of the financial close binder.

Can you invoice the merch as a project finance expense?

Yes — we issue CFDI 4.0 to the SAT with the 16% IVA breakdown and support for deduction as Project Finance, Infrastructure Financing or Investment Banking expense depending on how the merch is used. For concessionaires with IMMEX operations, we handle complementary invoicing in USD with the foreign trade complement and USMCA compliance.

Is Corp-Merch an official partner of Salon F-12 or any club deal?

No. Corp-Merch.MX is an independent curation, production and logistics workshop for merch at project finance closings and infrastructure financing events at Salon F-12 and other Mexico City venues. Salon F-12 and the club deals mentioned are cited for descriptive purposes only.
