Virtual Boardroom — where the advisory board reviews the quarterly strategy and the private equity fund runs due diligence on the Mexican corporate in an encrypted session

The Virtual Boardroom is the virtual room where the Mexican corporate runs its quarterly advisory board meeting, the monthly ethics committee meeting, the weekly investment committee meeting, the due diligence session with the private or public investment fund, or the foundation board meeting. The Virtual Boardroom has no physical location: it is an encrypted session on Zoom, Webex, Microsoft Teams or Google Meet with capacity for 6 to 24 participants in board format or 3 to 9 in committee format. What distinguishes the Virtual Boardroom from an ordinary virtual meeting is not the platform, but the corporate board protocol compliance and the confidentiality clause signed by advisors, investors or board members, plus the merch dispatched to the participant's home 5 business days ahead. The merch that arrives here operates as an advisor or investor kit (wooden box with magnetic closure, encrypted USB with the presentation, signature Mexican wine or spirit, notebook with the meeting script, CEO letter to the advisor) and as corporate staff kit (blazer or blouse, photo-and-role badge, cufflinks or earrings with the corporate crest).

Virtual Boardroom logistics, platform and custody

The Virtual Boardroom operates with a single virtual entry. Participants register via videoconference platform with identity verification (valid board credential, valid INE, proof of address, advisor or fund RFC) and MFA by TOTP or WebAuthn. The session runs with AES-256 GCM encryption, SRTP protocol for audio and TLS 1.3 for signalling, with optional recording for the corporate repository and 90-day retention.

The videoconferencing platform runs with platform failover (Zoom + Webex + Microsoft Teams + Google Meet) in case the primary platform fails. The simultaneous interpretation booth runs with two interpreters when the international advisor or fund partner requires Spanish, with Shure SM35 headset microphones and digital console with analogue backup.

For board meetings with private equity fund attendance, we follow the fund protocol (KKR, Blackstone, Carlyle, Apollo, Bain Capital, TPG, CVC, Advent, Warburg Pincus, General Atlantic) and the corporate due diligence manual. For board meetings with public investment fund attendance (NAFIN, Bancomext, FIRA, BANSEFI, FOVISSSTE, AFORE Azteca, AFORE XXI, AFORE Profuturo, AFORE Sura, AFORE Inbursa, AFORE Principal), we follow the trust manual and applicable legislation.

For ethics committee meetings with compliance officer attendance, we follow the corporate compliance manual and the LFPDPPP for personal data handling. For investment committee meetings with CEO, CFO and comptroller attendance, we follow the corporate investment manual and the confidentiality clause signed by each committee member.

Virtual Boardroom compliance and regulatory framework

The Virtual Boardroom has rules the merch must respect: no merch with noise elements (bells, alarms, pre-recorded voices) to avoid advisor audio interruptions, no merch with third-party logos not authorised by the corporate, no merch with flammable or sharp materials, no delivery to persons other than the verified advisor or investor. For board meetings with advisor attendance in foreign-exchange-control countries (Argentina, Turkey, Egypt, South Africa, Nigeria), we support customs declaration of the kit with declared value below the duty-free threshold or full declaration when the value exceeds it.

For board meetings with fund partner attendance in the United States, Canada, UK, Germany or Singapore, we handle international dispatch via FedEx International or UPS Worldwide with USMCA compliance when applicable. For board meetings with advisor attendance in free trade zones (Querétaro, León, Salamanca, Irapuato, Aguascalientes, San Luis Potosí), we provide complementary invoicing with free-trade-zone operating expense deduction support.

For SAT invoicing, we issue CFDI 4.0 with 16% IVA breakdown and support for deduction as Public Relations, Marketing or Training expense, depending on the merch use. For corporates with IMMEX operations, we provide complementary SAT invoicing with 16% IVA breakdown and USMCA support when the kit crosses the border as part of the expatriate advisor kit. For corporates with SAT invoicing as non-profit legal entity, we provide complementary invoicing with support for compliance with article 79 of LISR.

Merch is delivered with carta porte 3.0 when interstate or international transit applies, with foreign trade complement when the kit crosses the border, and with payment complement when the corporate pays in instalments. For board meetings with advisor attendance in jurisdictions with international shipping restrictions (Cuba, Iran, North Korea, Crimea, Donetsk, Lugansk), we suspend dispatch and substitute with corporate electronic gift card.
