Boardroom 2: the room where the contract with the strategic supplier is signed and where the due diligence team works three days in a row

Boardroom 2 in CDMX is the technical room of the corporate tower where Mexican companies, multilatinas and subsidiaries of multinationals meet to review contracts with strategic suppliers, carry out due diligence in merger or acquisition operations, negotiate with candidates for executive positions and set up technical project evaluation committees. The capacity of Boardroom 2 runs from 4 to 8 attendees in executive board format with leather chairs, 10 in school format with rectangular mahogany table, 6 in negotiation dinner format with private service. The room holds a 55-inch screen with Cisco videoconferencing system, work table with perimeter electrical and network connections, safe for reserved documents, Nespresso espresso machine or similar, back-of-house with confidential printing room and waiting room. The acoustic insulation complies with the due diligence protocol. We coordinate four merch packages for technical and negotiation sessions.

Boardroom 2 logistics, access and chain of custody

Boardroom 2 operates with one main participant entrance and a service entrance through the executive floor private corridor, with double security door. Merch delivery is made with prior identification of the tower operations staff and signature on confidential logbook, generally in a 7:00 to 9:00 window before the morning session, or 13:30 to 15:30 before the afternoon session. For multi-day due diligence sessions, we run daily restocking with discreet staff and tracking of replenished material, without disrupting the team workflow.

For supplier negotiation sessions, we coordinate with the corporate purchasing area and the legal area for kit delivery before the negotiation starts, with NDA signature when applicable. For due diligence sessions in merger or acquisition operations, we follow the CNBV protocol when the operation involves a public tender offer (OPA), with reserved pieces and signature of confidentiality agreement.

For sessions with external auditors (Big Four, local firm), we coordinate with the corporate internal audit area for reserved delivery of the auditor kit before the audit starts, with compliance of the auditor independence protocol. For sessions with international legal advisors, we follow the Barra Mexicana de Abogados protocol with reserved pieces and signature of no-conflict-of-interest declaration.
