Boardroom 1: the room where the board votes the strategic plan and where the independent director takes home the wooden box with the book of the year

Boardroom 1 in CDMX is the principal boardroom where Mexican companies with formal corporate governance, multilatinas with international boards and subsidiaries of multinationals with parent companies in the US, Europe or Asia meet to vote the strategic plan, approve the annual budget, review the CEO quarterly reports, discuss merger or acquisition operations and sign the agreements with strategic partners. The capacity of Boardroom 1 runs from 6 to 12 attendees in board format with leather perimeter chairs, 14 in U-format with central screen, 10 in formal dinner format with table service. The room holds a mahogany or walnut table with Polycom or Cisco high-definition videoconferencing system, 65-inch screen, confidential electronic voting system, back-of-house with waiting room, protocol room and phone booth. The lighting is dimmable, the air conditioning runs with independent temperature and the acoustic insulation complies with the board confidentiality protocol. We coordinate four merch packages for board and executive committee sessions.

Boardroom 1 logistics, access and chain of custody

Boardroom 1 operates with one member entrance and a service entrance through the executive floor private corridor. The service entrance takes wheeled briefcases and a load cart with capacity for 6 boxes. Delivery is made with prior identification of the tower operations staff and signature on confidential logbook, generally in a 6:30 to 8:30 window before the welcome coffee break, or 14:30 to 16:30 before the afternoon session. There is no extended setup window: the material is prepared in the staff room and installed at the board table during the shift change of the service staff.

For board sessions with international directors, we work with the corporate protocol area and the consulate when diplomatic corps presence applies. For sessions with videoconference with the parent office abroad, we run logistics sync with the transmission room so that the remote participant kit is delivered at the parent office videoconference room. For sessions with confidential electronic voting, we follow the anonymity protocol with pieces without visible vote identification.

For board sessions with external auditors, we coordinate with the corporate internal audit area for reserved delivery of the auditor kit before the session starts. The merch chain of custody is documented with signature, time and where the board protocol allows, discreet photography of the kit installed at each director seat, with certified destruction of confidential material at session close.

Boardroom 1 compliance, restrictions and confidentiality

Boardroom 1 operates with strict confidentiality rules that the merch must respect: no merch with noise-producing elements (bells, pre-recorded voices, music), no merch with unauthorised third-party logos, no pets, no food outside the room kitchen service, no merch with flammable materials or sharp edges. For sessions with privileged information (merger operations, debt restructuring, union negotiation), we follow article 362 of the Securities Market Law and the CNBV regulation when applicable.

For sessions with institutional investors or investment funds, we follow the due diligence protocol with reserved pieces and signature of confidentiality agreement before kit delivery. For board sessions with independent directors, we follow the Code of Principles and Best Practices of Corporate Governance of the Consejo Coordinador Empresarial with pieces differentiated by role.

For SAT invoicing, we issue CFDI 4.0 with 16% IVA breakdown and supporting documentation for deduction as Corporate Governance, Public Relations or Training expense, depending on the merch use. For corporates with IMMEX operations, we provide complementary invoicing in USD with IMMEX Decree compliance. For multilatinas with US operations, we coordinate with the corporate compliance area for USMCA application when the international director kit crosses the border.
