Shareholders meeting: the kit investors receive on assembly day

The shareholders assembly is the most formal moment of the year for an issuer listed on the Bolsa Mexicana de Valores, the Bolsa Institucional de Valores or for a Mexican corporate with a board of directors and audit committees. The kit each investor receives when registering at the table sets the corporate's tone for the next twelve months. We work with issuers in CDMX — with meetings in Torre Reforma, Polanco, Santa Fe, Centro Citibanamex, Museo Soumaya, Museo Tamayo, Museo de Antropología — and other cities, building the investor kit, the board box, theaward protocol and the venue POP.

What the assembly kit communicates

The investor attending the annual assembly receives three layers of communication. The first is the board report and the audited financial statements. The second is the CEO's presentation and the comments on results. The third, which many issuers overlook, is the tangible kit: the box they take home with the annual report, the encrypted USB, the recognition gift and the thank-you card from the board. That third layer communicates how much the investor is valued as a long-term partner.

The typical assembly kit is built with three key pieces. The annual report printed in hard cover with side stitch, 130 g matte coated paper, institutional photography on the cover and fiscal year data. The encrypted USB with the audited financial statements, the CEO presentation, the BMV and BIVA communications for the year, the sustainability report when the issuer publishes one, and a frequently-asked questions file. The curated gift, which sets the corporate tone — from a Mexican folk art piece to a daily-use desktop object, depending on the formality level and the board's budget.

Cost and assembly operation

The standard assembly kit with annual report, encrypted USB and curated gift starts at MXN 3,485 before IVA per unit on a 100-piece run. With annual report in fabric-lined hard cover, AES-256 encrypted USB and gift curated with a Mexican producer, the cost rises to MXN 5,485. With wooden box with laser engraving and one-of-a-kind curated piece per strategic investor, MXN 9,485 per unit on a 30-piece run.

MOQ depends on the issuer's shareholder register size. For issuers with fewer than 100 investors in the register, we run short runs with higher per-unit cost. For large issuers with more than 1,000 investors in the register, we run production with offset presses and industrial binding at lower per-unit cost.

We invoice CFDI 4.0 with 16% IVA itemised to the SAT. For issuers with ADR programmes abroad, we issue the foreign trade complement without IVA and with the exchange rate at payment time for investors residing outside Mexico. For delivery to the assembly venue — Torre Reforma, Centro Citibanamex, WTC CDMX, Museo Soumaya, hotel base — we issue CFDI with Carta Porte 3.0 complement when the shipment is on our account.

Frequently asked questions

Can you coordinate with BMV or BIVA?

Not directly, but we manage the production of the formats BMV or BIVA requires for the assembly. We coordinate with the placement agent or with the issuer's investor relations area.

Can you encrypt the USB individually per investor?

Yes. We run AES-256 encryption with individual password per USB. The password is delivered to the investor separately, in sealed envelope or by encrypted email.

Can you produce the annual report in offset?

Yes. For runs above 500 reports, we manage offset production with industrial binding in hard cover or perfect bound. For short runs we manage digital printing with artisan binding.
