General Terms and Conditions

These are the general Terms and Conditions that regulate the use of the website www.corp-merch.mx and the contracting of services and purchase of products offered by Corp-Merch.MX. They are published in compliance with article 80 of the Code of Commerce and the Federal Consumer Protection Law. We wrote them in clear language so that you understand your rights and obligations before accepting a quote or formalizing an order. For larger volume operations, we sign a master agreement with specific clauses that prevails over these terms.

Acceptance of terms

By using this website, requesting a quote or formalizing an order with Corp-Merch.MX, you accept these Terms and Conditions. If you disagree with any section, we recommend not advancing with the contracting. These terms may be supplemented or modified by specific conditions accepted at the time of the quote or the signing of the master agreement.

Corp-Merch.MX reserves the right to update these terms to reflect legal, operational or commercial changes. Modifications are published on the website and, when they affect orders in progress, are communicated to the client with at least fifteen calendar days in advance.

Quotes, orders and payments

Quotes have a validity of fifteen calendar days from issuance, unless another period is expressly indicated. The quote includes product breakdown, print methods, 16% IVA and, when applicable, logistics cost. To formalize the order, you issue a purchase order or sign the quote with the seal and signature of the authorized person.

Payment terms are: 50% upfront at order confirmation and 50% on delivery for new clients; credit line at fifteen or thirty days subject to approval for clients with a commercial relationship longer than six months and no overdue debts. We accept SPEI transfer, credit or debit card, and for master agreements, consolidated monthly payment with CFDI 4.0 PPD and payment complement.

CFDI 4.0 invoicing

Every sale is invoiced with CFDI 4.0 before SAT within seventy-two business hours after delivery or, in the case of immediate payment, at the time of settlement. The invoice includes subtotal, 16% IVA broken out, total in MXN, CFDI usage (G03 for general expenses, G01 for merchandise acquisition), payment method (PUE single payment, PPD installments or deferred), payment form (transfer, card, cash) and, when applicable, payment complement, Carta Porte 3.0 and foreign trade complement.

For us to issue the CFDI, you must provide us with a copy of the current tax status certificate (no older than three months), RFC, legal name, tax address, email for invoice delivery and, if applicable, the purchase order. If the billing data is incorrect, the correction is made within the same calendar month in accordance with SAT provisions.

Production, timelines and deliveries

Production timelines are counted in business days from artwork confirmation and upfront payment. Standard line: seven to ten business days for runs up to one thousand pieces; fifteen to twenty business days for larger industrial runs. Rush line: three to five business days with a 30% surcharge on price, subject to fabric and workshop availability.

Deliveries are made at the address indicated by the client. For CDMX and the metropolitan area, the cutoff is 11:00 for same-day delivery and 17:00 for next-day delivery. For the rest of the country, standard delivery is twenty-four to seventy-two hours by specialized carrier or dedicated fleet. For international destinations, timelines depend on the customs crossing and the chosen mode of transport (air, sea or land).

Warranties and returns

All products carry a warranty against manufacturing defects for thirty calendar days from delivery. The warranty covers: embroidery or screen printing with threads or inks that come off, open seams, fabrics with origin defects and Pantone color errors approved. The warranty does NOT cover: damage from improper use, inadequate washing, modifications by the client, natural wear from intensive use, and minor tone variations within commercial tolerance.

To enforce the warranty, you send photos of the defect and the number of affected pieces within thirty calendar days of delivery. If the warranty applies, we will replace the defective pieces at no cost within no more than fifteen business days. Refunds in cash are not made; replacement is the standard route. If affected pieces exceed 10% of the run, the warranty extends to the full run and replacement is at no cost.

Intellectual property and graphic arts

The graphic arts, embroidery files, screen printing films, laser files and mockups prepared by Corp-Merch.MX for a client become the property of the client once the order is paid. During the project term, Corp-Merch.MX may use them internally for production and quality control, but may not commercialize or transfer them to third parties without written authorization.

When you provide artwork or logos, you declare that you are the rights holder or that you have authorization to use them. Corp-Merch.MX does not verify the originality of artwork provided by the client and is released from responsibility for third-party intellectual property infringements. In case of claim, you will defend, indemnify and hold us harmless from any controversy.

Limitation of liability

Corp-Merch.MX is not responsible for indirect damages, lost profits, loss of opportunity or damage to the client's image derived from the use of the products delivered, except in cases expressly provided by law. Corp-Merch.MX's total liability under any order is limited to the amount effectively paid by the client for that order.

Corp-Merch.MX is not responsible for delays attributable to force majeure causes: natural disasters, road blockades, strikes, pandemics, regulatory changes, power or telecommunications outages, or acts of authority that delay delivery of merchandise.

Governing law and jurisdiction

These Terms and Conditions are governed by the federal and local laws of the United Mexican States. For everything not provided, the Federal Consumer Protection Law, the Code of Commerce, the Federal Civil Code and applicable commercial legislation apply. For interpretation, compliance and any controversy arising from them, the parties submit to the competent courts of Mexico City, expressly waiving any other jurisdiction that may correspond to them.

Before going to court, the parties will attempt mediation before PROFECO or a certified private mediation center. The mediation procedure will not exceed sixty calendar days.
