Promotional merch vs corporate gifts in Mexico: operational and fiscal difference
Promotional merch and corporate gifts are not the same thing — not in the eyes of Mexican law, not in the eyes of the SAT, not in the eyes of the compliance team, and not in the eyes of the logistics operator. Mixing them up creates errors in the CFDI 4.0, in the SAT key, in the CFDI use, in ISR withholding when applicable, and in the expense deduction. This guide explains the operational and fiscal difference based on work with clients such as Grupo Bimbo, FEMSA, Liverpool, Arca Continental, Cinépolis, Banorte, BBVA México, Grupo Salinas, Coppel and government offices in CDMX, Monterrey and Guadalajara. The operational rule: promotional is accounted as marketing expense, institutional gift is accounted as representation expense or, when applicable, as employee benefit with its own rules.
What promotional merch is, and what a corporate gift is
Promotional merch is the article delivered to the general public or to event attendees for visibility, brand presence, flyering, product demonstration or sampling purposes. Typical examples: a T-shirt with the logo at Expo Guadalajara, a female at a Liverpool point of sale, a notebook at a Centro Citibanamex stand, a tote bag at an athletic event, stickers at a festival. The recipient is anonymous or semi-anonymous, there is no contractual relationship, and the objective is brand recall or support for a commercial activation.
The institutional corporate gift is the article delivered to an identified person — AAA client, strategic supplier, regulator, ally, board member, employee at a formal event — for gratitude, relationship maintenance or brand representation purposes. Typical examples: an engraved leather box at a year-end dinner, a signed portfolio on a client anniversary, an executive kit during a regulator visit, recognition for a 20-year supplier. The recipient is identifiable, a business relationship exists, and the article typically has a unit value above $1,000 MXN.
The operational difference is felt from the requisition onwards. Promotional is requested in large volume (1,000 to 50,000 pieces), MOQ per textile or technical category, lead times of 3 to 5 weeks, and delivery with Carta Porte 3.0 when the shipment exceeds 1.5 tonnes or $50,000 MXN. The institutional gift is requested in short volume (25 to 200 pieces), premium MOQ, lead times of 4 to 8 weeks, and delivery with prepaid courier, specialised parcel or workshop pickup.
The fiscal difference is the one with the biggest impact. Promotional merch is recorded as marketing expense with SAT key 60101501, 80141601, 80141605 depending on the material, CFDI use G03 general expenses, and 100 % deduction as an operating expense. The institutional corporate gift is recorded under specific keys (60101501, 80141605 depending on material), CFDI use G03 general expenses or G01 acquisitions, and deduction as representation expense or, when delivered to employees as part of a formal event, may require taxable compensation treatment for ISR purposes under article 27 of the LISR and the applicable Miscelánea Fiscal Resolution.
When it is promotional merch, and when it is an institutional gift
1. The recipient is anonymous or semi-anonymous
When the article is delivered at a trade show, point of sale, sampling, flyering or mass event without a nominal recipient list, it is promotional merch. The piece does not require personalisation beyond the generic logo, the batch is invoiced as a single line item, and the destination is the athlete, attendee, buyer or passer-by who interacts with the brand. Corp-Merch.MX produces promotional runs from 1,000 pieces for national campaigns covering CDMX, Monterrey, Guadalajara, Puebla, Querétaro and León.
2. The recipient is identifiable and the relationship is business
When the article is delivered to an identified person with name, position, company and address — AAA client, key supplier, regulator, strategic ally — it is an institutional corporate gift. The piece may carry personalisation (engraving with initials, recipient's name, recognition plaque), is delivered with a prepaid courier waybill named to the recipient, and is invoiced as representation expense. Corp-Merch.MX produces institutional runs in leather from León, blown glass from Tlalpan and ceramic from Puebla, with dedicated delivery in CDMX and the metropolitan area.
3. The event is year-end, anniversary, launch or recognition
Year-end dinners, client anniversaries, product launches, supplier or employee recognition, regulator visits, board meetings — these are the natural terrain of the institutional gift. The piece carries a symbolic value that exceeds the material: it is the vehicle of formal gratitude. Personalisation, dedicated packaging and delivery timing are part of the message and are planned with at least 6-8 weeks of lead time for leather, glass or metal runs.
4. The event is a trade show, convention, sampling or point of sale
Expo Guadalajara, Centro Citibanamex, CINTERMEX, WTC CDMX, Pepsi Center WTC, events at Palacio Nacional, festivals, athletic races, Liverpool points of sale, Walmart México, OXXO, Seven-Eleven México, Costco México, Sam's Club — these are the terrain of promotional merch. The piece is a vehicle of visibility, the objective is brand presence, and the invoicing is concentrated as marketing expense under the applicable regime.
How each type is invoiced in CFDI 4.0 and Carta Porte
1. SAT key, CFDI use and client tax regime
For promotional merch, Corp-Merch.MX invoices with SAT key 60101501 (textile), 80141601 (gifts and merchandise), 80141605 (corporate gifts), CFDI use G03 general expenses, the client's tax regime (601 general, 603 legal entity, 606 lease, as applicable) and the client's fiscal postal code. For institutional corporate gifts, the SAT key may be the same but the CFDI use is usually G01 acquisitions of merchandise when it is merchandise for resale, or G03 general expenses when it is a direct operating expense.
2. Carta Porte 3.0 when the shipment exceeds SAT thresholds
The shipment of promotional merch weighing more than 1.5 tonnes or valued over $50,000 MXN requires Carta Porte 3.0 with origin and destination fields, vehicle, operator, type of merchandise and declared value. Corp-Merch.MX issues Carta Porte from the origin plant or warehouse to the client's final destination with all the logistical information. For institutional gifts the shipment is usually specialised parcel (Estafeta, FedEx México, DHL México, Paquetexpress) with a prepaid waybill and, when the unit value exceeds certain thresholds, shipping insurance.
3. ISR withholding when the gift is given to employees
When the institutional gift is given to employees as compensation or benefit (recognition, seniority, family event, year-end), the value of the gift may constitute taxable income for the employee and require ISR withholding under article 27 of the LISR and the applicable Miscelánea Fiscal Resolution. Corp-Merch.MX recommends validating with the client's tax team whether the gift qualifies as deductible representation expense or as taxable income for the employee. This distinction changes the CFDI: in the second case, the income is reported on payroll and the applicable ISR is withheld.
4. Temporary storage and quarterly report
When the programme combines promotional and institutional, the temporary storage in CDMX, Guadalajara or Monterrey requires a log of incoming and outgoing items with separation between runs. Corp-Merch.MX operates temporary warehousing with a quarterly report of inventory, delivery date, recipient and unit value — this facilitates the client's fiscal closing and the filing of the informative return when applicable.
How to avoid the most common mistake: mixing the two in one line item
The most frequent error in mixed programmes is mixing promotional and institutional in a single purchase order and a single CFDI. This confuses the SAT, the client's tax team and the external auditor. The typical consequence: the mixed line item is reclassified as representation expense and the deduction as marketing expense is denied, or ISR withholding is required on the total when only a part corresponded to employees.
The operational solution is to separate the runs from the requisition: one purchase order for the promotional run (large volume, generic code, Carta Porte when applicable), one purchase order for the institutional run (short volume, personalised code, dedicated parcel). Corp-Merch.MX delivers two separate quotes broken down by IVA, freight, Carta Porte and applicable deduction so that the client's procurement team records each line item correctly in their accounting system.
How this translates into real savings and compliance
When both types are managed separately, the result is visible in the fiscal closing of the year. The promotional run is deducted as marketing expense at 100 % with no restriction. The institutional run is deducted as representation expense up to the applicable limits under the client's tax regime, or recorded as taxable compensation in the case of employees — without forced reclassifications or auditor observations. Corp-Merch.MX delivers a quarterly report classifying each run, unit value, applied deduction and, when applicable, documented ISR withholding.
Frequent questions about promotional merch vs corporate gifts
What is the correct SAT key for promotional merch?
For textile the usual SAT key is 60101501 (merchandising and branded apparel). For technical and miscellaneous the keys 80141601 (merchandise and gifts) and 80141605 (corporate gifts) are most used. Corp-Merch.MX confirms the specific SAT key for each product with the SAT catalogue in force at the time of stamping.
When is an institutional gift considered taxable income for the employee?
When the gift is granted as compensation, recognition or benefit and its unit value exceeds the limits the Miscelánea Fiscal Resolution in force establishes for social events, year-end or seniority. Corp-Merch.MX recommends validating each case with the client's tax team before stamping the CFDI, and documenting the event or recognition with the employee's RFC when applicable.
Is Carta Porte required for promotional merch deliveries?
Yes, when the shipment exceeds 1.5 tonnes or $50,000 MXN in value, or when the carrier operates under federal autotransport regime. Corp-Merch.MX issues Carta Porte 3.0 from the origin warehouse to the client's destination with all the fields required by the SAT.
What is the applicable fiscal deduction for each type?
Promotional merch is deducted at 100 % as marketing expense. The institutional corporate gift is deducted as representation expense up to the limits of article 28 of the LISR or, when delivered to employees, reported as taxable income on payroll with the applicable ISR withholding. Corp-Merch.MX documents both cases in the quarterly report.
Let's talk about your next programme — promotional, institutional or mixed
If your team is planning the next programme and needs to correctly separate the promotional run from the institutional run for fiscal and operational purposes, let's talk before issuing the purchase order. We need the programme, number of pieces per type, delivery cities, deadlines and recipient type. With that we issue two separate quotes broken down by IVA, Carta Porte when applicable, applicable deduction and physical sample in 5-7 business days.
