The CFDI 4.0 reform: the real impact on corporate merch invoicing
The CFDI 4.0 reform stopped being a tax-team concern and became a marketing, procurement and operations concern. If you run an annual uniform programme, a year-end client-gifting cycle, conference kits, welcome kits, talent-retention merch or any physical delivery with material value to the company, this guide explains what changed, what is still changing, and how to structure your 2026 programme without fiscal surprises. We work with hundreds of clients — Grupo Salinas, Coppel, Elektra, FEMSA, Arca Continental, Grupo Bimbo, Cinépolis, Liverpool, HSBC México, BBVA México, Banorte, Scotiabank México, Santander México, Banco Azteca, GNP Seguros, AXA México, MetLife México, Zurich México, Allianz México — and we share what we have learned operationally.
The six reform points that affect merch programmes
Point one is the full retirement of CFDI 3.3. Since 1 July 2023 the PACs (Proveedores Autorizados de Certificación) no longer stamp 3.3 and every B2B or B2C invoice must be 4.0. Any vendor still invoicing 3.3 is out of compliance and the buyer cannot deduct the expense or credit the IVA.
Point two is the receptor's tax-regime field. CFDI 4.0 requires the precise tax regime registered with SAT for the invoice receptor. For a legal entity under Régimen General the code is 601; for RESICO, 626; for Technology Platforms, 625; for individuals under Actividad Empresarial y Profesional, 612. If the declared regime doesn't match the buyer's Constancia de Situación Fiscal, SAT rejects the CFDI and the vendor has to re-stamp.
Point three is the receptor's fiscal zip code. CFDI 4.0 requires the zip code of the fiscal address registered with SAT — not the delivery zip. This caused widespread confusion in 2023 and many invoices were rejected because buyers were capturing the receiving branch's zip. The rule is simple: the fiscal zip is the one on the buyer's up-to-date Constancia de Situación Fiscal.
Point four is Carta Porte 3.0. Mandatory since 1 January 2024 for all federal transport by road, rail or air. For merch deliveries with inter-state freight, it always applies. For in-city deliveries it applies when the shipment exceeds 1.5 tonnes or the merchandise value exceeds $50,000 MXN. Corp-Merch.MX stamps the Carta Porte with our own fleet data and the buyer receives it linked to the product CFDI.
Point five is the foreign-trade complement for export operations. When merch crosses the northern or southern border for delivery at a client plant — say custom polos produced in Tijuana and delivered in San Diego for the maquiladora's staff — the CFDI must be stamped with the foreign-trade complement and pedimento data.
Point six is the donor complement. For donated-merch programmes (clients such as DIF Nacional, DIF CDMX, Cruz Roja Mexicana, Save the Children México, World Vision México, Oxfam México, Fundación Carlos Slim, Fundación FEMSA, Fundación Banorte, Crea Comunidades de Emprendedores, Endeavor México, Ashoka México, United Way México), the CFDI is issued under use-of-CFDI D01 with the receptor's current SAT donor authorisation number.
Deductibility of merch spend: what applies and what doesn't
Corporate merch is deductible for the buyer as long as it meets four conditions under Articles 27 and 31 of the LISR. First, the expense must be strictly necessary for the business activity. Operational uniforms are unambiguously deductible; year-end client gifts are deductible as long as the expense is supported and booked.
Second, the expense must be supported by a properly stamped CFDI 4.0. Without a valid CFDI the expense is not deductible. That includes the tax-regime field, fiscal zip code, product/service keys and correct use-of-CFDI.
Third, the payment must be bank-traced for amounts over $2,000 MXN. SAT requires deductible expenses over that threshold to be paid by wire transfer, nominative cheque, credit or debit card, or electronic wallet. Cash payments above $2,000 MXN are not deductible.
Fourth, the expense must be booked in the accounting system. Corp-Merch.MX delivers XML and PDF for every CFDI, which makes booking in your ERP (SAP, Oracle, Microsoft Dynamics, Contpaqi, Aspel) straightforward.
For clients running IMMEX programmes, merch delivered to plant personnel is deductible as an operating expense of the maquiladora operation, with no special considerations. The 16 % IVA is creditable against the maquiladora's own IVA. For maquiladoras under a 0 % rate on temporary imports, merch delivered physically at the plant is a domestic operation billed at 16 %.
Structuring the 2026 programme without fiscal surprises
The recommended structure for an annual corporate merch programme under CFDI 4.0 has five elements. First, the commercial addendum signed at the start of the fiscal year covering general terms: receptor regime, payment terms, invoicing cadence, currency, use-of-CFDI, and Carta Porte rules.
Second, the vendor onboarding into the buyer's approved-vendor padrón. Corp-Merch.MX delivers Constancia de Situación Fiscal, 32-D positive opinion, evidence of fiscal address, bank-account confirmation and a copy of the legal representative's ID. That lets the buyer's ERP or procurement system complete onboarding without delays.
Third, a stamp dry-run before the first real order. We generate a test CFDI with the buyer's data and validate it on the SAT portal — that one step usually eliminates the worst rejections later.
Fourth, recurring delivery with CFDI per event. For monthly programmes (typical in retail chains like Oxxo, 7-Eleven, Farmacias Guadalajara, Chedraui, Soriana, Liverpool) we issue one invoice per delivery with a per-store breakdown. For annual consolidated programmes (typical in corporates with one annual delivery) we issue a single invoice with a per-product-line and per-cost-centre breakdown.
Fifth, the annual fiscal report. We deliver a yearly report with all invoices issued, folios, amounts, broken-out IVA, payment methods and uses of CFDI — making the annual Declaración Informativa de Operaciones con Terceros (DIOT) and the accounting reconciliation easier.
Border-zone regime and binational programmes
For clients operating in the northern border zone (Tijuana, Mexicali, San Luis Río Colorado, Nogales, Ciudad Juárez, Nuevo Laredo, Reynosa, Matamoros) and for clients running binational operations that include maquiladoras, the reduced 8 % IVA regime applies on deliveries inside the 22-kilometre belt or the SAT-specified municipalities. Corp-Merch.MX applies 8 % IVA on deliveries into the border zone and 16 % elsewhere in Mexico.
For clients in the Free Zone (parts of Baja California, Sonora and Chihuahua), the Decreto de zona libre imposes specific conditions, including IVA exemption on certain operations. Your tax advisor confirms the treatment for your case.
For cross-border operations (merch delivered in San Diego, El Paso, Laredo, McAllen, Brownsville for Mexican maquiladora staff on the US side), CFDI 4.0 is stamped with the foreign-trade complement and 0 % IVA when the service is rendered abroad. The requirement is that the operation is billed as a service rendered abroad, not as a sale of goods.
FAQ — the CFDI 4.0 reform and merch
What's the fine for not stamping CFDI 4.0?
SAT can fine between $400 and $30,000 MXN per un-stamped CFDI, depending on the taxpayer's regime. For Régimen General entities, fines typically fall in the middle of the range. In addition, expense deduction and IVA acreditamiento are lost if the CFDI is invalid.
Do I need to update my Constancia de Situación Fiscal to invoice in 4.0?
Yes — CFDI 4.0 requires the tax regime and fiscal zip to match the current Constancia de Situación Fiscal. If the constancia is out of date, the CFDI will be rejected.
Do you invoice RESICO buyers?
Yes — CFDI 4.0 under regime 626 for clients enrolled in RESICO. Standard 16 % IVA with the buyer applying the corresponding acreditamiento.
Does Carta Porte apply to local CDMX deliveries?
Carta Porte applies locally when the shipment exceeds 1.5 tonnes or $50,000 MXN. For typical corporate merch deliveries (kilograms, thousands of pesos per shipment) it usually does not apply in CDMX, Guadalajara or Monterrey. It almost always applies for inter-state freight.
Can you issue an anticipo invoice for payment before delivery?
Yes — we stamp an anticipo CFDI when the buyer needs it to release payment. The invoice carries payment method PPD and is complemented with the payment receipt at close.
Let's scope your fiscal-compliant merch programme
If you're closing your first order of the year or switching vendors and want CFDI 4.0 compliance from the first invoice, let's talk. We need the legal name, RFC, tax regime, fiscal zip, up-to-date Constancia de Situación Fiscal, payment terms and invoicing cadence. We will quote with an invoicing timeline.
