Salon R-2 Corp Santa Fe: the oval board room where directors vote on restructurings worth billions of MXN and where each director's briefer lands encrypted

Salon R-2 Corp Santa Fe is the oval board room with a twelve-seat mahogany table, high-definition Polycom videoconferencing, ambient noise-cancelling microphones, retractable 85-inch display, ceiling-mounted camera with touch control, smart glass partition that frosts on command, breakout room for committee sessions (audit, compensation, corporate governance, risk), private barista kitchenette, discreet entry from the tower's underground parking, and a back-of-house freight elevator and safe. The room hosts the CEO roundtables that IPC and FTSE-BIVA issuers run to align the board before the quarterly Investor Day, the board meetings where directors approve restructurings that move billions of pesos, the committee sessions where the executive compensation plan is decided, and the director-level meetings where new independent directors are named. What defines R-2 is confidentiality: every piece of merch is delivered encrypted, with chain of custody signed by the corporate secretary and the IR officer, and the room is swept clean of undeclared devices at the close of each session.

Logistics, access and custody at Salon R-2 Santa Fe

R-2's underground-parking freight entry has restricted hours from 6:00 to 8:30 on session day, with a log signed by tower operations, the corporate's security chief and the corporate secretary. Material moves to the back-of-house in sealed boxes with lot numbers, stays under lock in the safe until one hour before the session and is delivered to each director with signature, timestamp and serial number. For meetings with foreign directors, we run kits with English translation and, when the corporate has a French or German director, the corresponding language compliance.

For meetings with US and Canadian directors, we run USMCA compliance with certificate of origin when the kit includes US components and support for the foreign trade complement of CFDI 4.0. For meetings with European directors, we run GDPR compliance for personal-data handling and support for local-VAT invoicing when the corporate has an EU subsidiary. The merch chain of custody is documented with signature, timestamp and photo at every checkpoint: underground intake, tower security inspection, back-of-house transfer, safe deposit, restocking during the committee coffee break and post-session collection with device wipe.

For corporates invoicing through SAT, we issue CFDI 4.0 with 16% IVA breakdown and deduction support as Corporate Governance or Investor Relations expense. For corporates with international operations, we run complementary invoicing in USD at the Banco de México FIX rate of the prior day and compliance with the foreign-operations regime. For corporates with dual MXN/USD invoicing, we run the payment complement when the operation closes in installments. For kits crossing the border for board tours, we file a temporary import pedimento when the kit returns to Mexico.

CNBV, USMCA compliance and Salon R-2 prohibitions

R-2 operates under CNBV and BMV rules for board meetings of public issuers: no merch with undeclared devices admitted through the tower's security manifest, no unencrypted USB admitted without IR officer and compliance officer validation, no competitor-logo or same-sector issuer merch during the session, no photography or recording of the day's agenda documents, no outside food or beverages beyond the tower's authorized catering. For meetings approving material restructurings, we run kits with concealed pieces for transmission when the compliance manual requires it and compliance with the privileged information protocol.

For meetings with SEC-regulated foreign directors, we run compliance with the material-information disclosure protocol and support for the day's document classification. For meetings with European directors, we run GDPR compliance for personal-data handling and support for the treatment-activity register. For meetings with Asian directors, we run compliance with local encrypted-device entry restrictions and coordinate with the client's international courier.

For SAT invoicing, we issue CFDI 4.0 with 16% IVA breakdown and deduction support as Corporate Governance, Investor Relations or Regulatory Compliance expense. For corporates with dual invoicing, we run the payment complement when installments apply. For international board tours, we file temporary import pedimentos when the kit returns to Mexico and comply with Article 27 of the Fiscal Code of the Federation for deducting expenses abroad. Delivery to the back-of-house is documented with a slip signed by the tower operations chief and the corporate secretary.
