Salon N-9: the room where the strategic buyer signs the data room and the advisor kit lands before the CIM

Salon N-9 sits inside one of the due diligence complexes in the investment banking firms and corporates of the Polanco-Bosques corridor of Mexico City: a room with a central screen, lecterns for the seller and the strategic buyer, a video conferencing room linked to New York and London, a holding foyer for working coffee, a dumbwaiter from the floor kitchen, and an independent access door for the transaction lawyers when the CIM signing requires notarial attestation. This is where the M&A due diligence of IPC-listed corporates runs, where the data room presentations of dual-listed industrial groups take place, where the private equity funds review their manufacturing portfolios, and where the CIM presentation rounds to international strategic buyers happen. What separates Salon N-9 from a generic boardroom is the documentary chain: the advisor kit enters before the CIM, exits signed by each buyer team member at close, and respects the confidentiality limits of the information memorandum.

Salon N-9 logistics, access and custody

Salon N-9 runs on a freight dock dedicated to the bank or corporate: the lateral dock accepts 4-ton trailers within restricted hours and by prior booking, and the 1.5-ton box truck has its own ramp under permanent surveillance. Pedestrian freight access requires prior ID, the corporate credential and a logbook signature from the operations area; there is no informal access and no entry through the corporate main door. The operations staff delivers the advisor folder with visible ID and credential, and handles restocking during the recess. Salon N-9's back-of-house has three areas: the process holding foyer (where the folder is staged), the video conferencing room (where the remaining merch sits in sealed boxes) and the lawyers' room (where reserved material is kept under signature).

For due diligence with international strategic buyer presence (typically from the US, Canada, Europe and Asia), we handle invoicing in USD at the Banco de Mexico FIX rate from the day before the session, with USMCA compliance and support for deduction as Investment Banking or Mergers and Acquisitions expense in the bank's or corporate's fiscal close. For due diligence with SAT or antitrust commission presence, we handle compliance with the corporate security protocol and the notarial protocol when applicable. The merch chain of custody is documented with signature, time stamp and photo at every checkpoint: dock entry, operations inspection, back-of-house transfer, restocking during the recess, post-session pickup.

Salon N-9 confidentiality, compliance and restrictions

Salon N-9 enforces operating rules the merch must respect: phones off inside the room during buyer team deliberations (advisors leave their phones in the holding foyer), no merch with noise or distraction elements, no large backpacks or bags inside the room (advisors leave their gear in the foyer), no POP material carrying competitor logos (frequently requested by investment banks), no outside food or beverages beyond the corporate catering service, no non-uniformed personnel in the back-of-house during the session. For sessions that require limited-edition merchandising (numbered process anniversary plaque, book signed by the seller CEO, paperweight stamped with the CIM year), we coordinate with the operations area to ensure the piece clears the security protocol, the notarial protocol and the information memorandum confidentiality protocol.

For SAT invoicing we issue CFDI 4.0 with the 16% IVA breakdown and support for deduction as Investment Banking, Mergers and Acquisitions or Corporate Development expense depending on how the merch is used. For corporates with international operations we handle complementary invoicing in USD with the foreign trade complement and USMCA compliance when the merch crosses the border as part of the reserved material for the international advisor resident abroad. For groups with dual listings, we handle bilingual (es/en) invoicing and USMCA compliance. Merch is delivered with carta porte 3.0 when interstate or international transit applies, with the foreign trade complement when applicable, and with the payment complement when the corporate pays in instalments.
