Salon N-1: the room where the board signs the dividend and the director kit lands before the minutes

Salon N-1 sits inside one of the corporate board complexes in the Polanco-Bosques corridor of Mexico City: an oval table seating eleven directors in leather executive chairs, a central screen for results presentations, the corporate secretary's lectern, an adjoining deliberation room with six seats, a holding foyer for working coffee, a dumbwaiter from the corporate kitchen, and an independent access door for the notary public. This is where the quarterly board sessions of BMV-listed issuers run, where the boards of dual-listed industrial groups meet, where the boards of CNBV-supervised banks deliberate, and where the patronatos of the major educational foundations convene. What separates Salon N-1 from a posh ballroom is the documentary chain of custody: the director kit has to land before the notary, exit signed by each board member at close, and let the minutes be notarised without the merch disrupting the order of the day.

Salon N-1 logistics, access and documentary custody

Salon N-1 runs on a freight dock dedicated to the corporate: the lateral dock accepts 8-ton trailers within restricted hours and by prior booking, and the 3-ton box truck has its own ramp on the east side under permanent surveillance. Pedestrian freight access requires prior ID, the corporate credential and a logbook signature from the operations area; there is no informal access and no entry through the corporate main door. The corporate operations staff delivers the director folder with visible ID and credential, and handles restocking during the session recess. Salon N-1's back-of-house has three areas: the board holding foyer (where the director folder is staged), the deliberation room (where the remaining merch sits in sealed boxes) and the notary's room (where reserved material is kept under notarial signature).

For board sessions with international director presence (typically from the US, Canada, Europe and Asia), we handle invoicing in USD at the Banco de Mexico FIX rate from the day before the session, with USMCA compliance and support for deduction as Corporate Governance or Investor Relations expense in the corporate fiscal close. For board sessions with regulator presence (CNBV, Banxico, CONDUSEF, COFECE), we handle compliance with the corporate security protocol and the notarial protocol when the minutes are notarised at session close. The merch chain of custody is documented with signature, time stamp and photo at every checkpoint: dock entry, operations inspection, back-of-house transfer, restocking during the recess, post-session pickup.

Salon N-1 confidentiality, compliance and restrictions

Salon N-1 enforces operating rules the merch must respect: phones off inside the room during deliberations (directors leave their phones in the holding foyer), no merch with noise or distraction elements, no large backpacks or bags inside the room (directors leave their gear in the foyer), no POP material carrying third-party logos (frequently requested by issuer corporates), no outside food or beverages beyond the corporate catering service, no non-uniformed personnel in the back-of-house during the session. For sessions that require limited-edition merchandising (numbered anniversary plaque, book signed by the guest author, paperweight stamped with the report year), we coordinate with the corporate operations team to ensure the piece clears the security protocol, the notarial protocol and the confidentiality protocol when the session is reserved and not transmitted externally.

For SAT invoicing we issue CFDI 4.0 with the 16% IVA breakdown and support for deduction as Corporate Governance, Investor Relations or Board Relations expense depending on how the merch is used. For corporates with IMMEX operations or US exposure, we handle complementary invoicing in USD or EUR with USMCA compliance support when the merch crosses the border as part of the reserved material for the international director resident abroad. For groups with dual listings (BMV and NYSE/Nasdaq), we handle bilingual (es/en) invoicing and USMCA compliance when the director folder crosses the border as part of the reserved material for the international director resident abroad. Merch is delivered with carta porte 3.0 when interstate or international transit applies, with the foreign trade complement when applicable, and with the payment complement when the corporate pays in instalments.
