Salon F-5: where the Toronto fund closes the Saltillo auto-parts acquisition and the closing binder arrives before the morning coffee

Salon F-5 occupies the legal floor of a law firm tower in Polanco: a main hall with mahogany table for 22 lawyers and bankers, an encrypted video-conference suite on a dedicated line for remote due diligence, a signing anteroom with two notaries, a law library with current statutes, a protocol kitchen and two pedestrian accesses: a main one with biometric turnstile and a service one with notarial logbook. This is where cross-border acquisitions of Mexican industrial groups close, where Bajio auto-parts manufacturers sell to Canadian and US funds, where food and beverage companies are sold to European conglomerates, where Mexican fintechs undergo due diligence from Wall Street banks, where binational family conglomerates restructure, and where Mexican corporates and Asian tech players sign joint ventures. What separates Salon F-5 is the cadence of the due diligence: the closing binder arrives before coffee, the SPA signed by the parties exits after lunch, and the international guest merch crosses the border under USMCA compliance.

Salon F-5 logistics, access and notarial custody

Salon F-5 runs on a dedicated service elevator: freight travels up the west-wing service elevator, not the main one; the freight elevator has restricted hours and notarial logbook. Light freight (staff merch, hospitality, bottled water) goes up the service elevator with visible ID and credential. The firm protocol staff signs the merch entry and walks the material to the Salon F-5 signing anteroom, where it is staged on a side table. The law library has a secure holding area with sealed boxes for the merch that gets handed over at the close of the day, and the signing anteroom has a locked cabinet for protocol gifts handed out outside signing hours. The notary attesting to the closing has a dedicated signing area, with separate desk and paperwork on security paper.

For closings with international guest presence (European or Asian pension fund LPs, investment banking partners, outside counsel from the US or Canada), we handle invoicing in USD at the Banco de Mexico FIX rate from the day before delivery, with USMCA compliance when the merch crosses the border, and support for deduction as M&A, Corporate Protocol or Institutional Relations expense in the corporate fiscal close. For closings with SAT, UIF or CNBV officials in attendance, we handle the corporate security protocol and the Policia Bancaria e Industrial protocol when applicable. The chain of custody is documented with signature, time stamp, photograph and seal number at every checkpoint.

Salon F-5 confidentiality, compliance and restrictions

Salon F-5 enforces protocol rules the merch must respect: phones off at the closing table during signatures, no merch with noise or visual distraction elements, no backpacks or bags inside the room (attendees use the floor cloakroom), no POP material carrying third-party logos (transactions work under NDA and merch is handed out after the closing), no outside food or beverages beyond the firm kitchen service. For sessions that require limited-edition merchandising (50th anniversary plate of the corporation, book signed by the outgoing CEO, paperweight stamped with the merger signing year), we coordinate with the firm protocol office to ensure the piece clears the security protocol, the notarial protocol and the compliance protocol when the signer signs under power of attorney.

For SAT invoicing we issue CFDI 4.0 with the 16% IVA breakdown and support for deduction as M&A, Corporate Protocol or Institutional Relations expense depending on how the merch is used. For corporates with IMMEX operations or US market exposure, we handle complementary invoicing in USD or EUR with USMCA compliance support when the merch crosses the border as part of the institutional LP care material resident abroad. For groups with dual jurisdiction (Mexico and the US), we handle bilingual (es/en) invoicing and USMCA compliance. The merch ships with carta porte 3.0 when interstate or international transit applies, with the foreign trade complement when applicable, and with the payment complement when the corporate pays in instalments or against the notarised closing minutes.

Salon F-5 MOQ, pricing and reservations

Closing binder — from MXN 3,250 before VAT per piece at an 18-piece run. International guest merch — from MXN 6,950 before VAT per piece at an 8-piece run. Signer recognition — from MXN 11,500 before VAT per piece at a 4-piece run. Legal staff hospitality — from MXN 2,890 before VAT per person at a 12-piece run.
For M&A closings on high-demand dates (auto-parts acquisitions, food company sales, tech joint ventures) we block the calendar 30 days ahead with a firm written commitment. For closings on low-demand dates we block 14 days ahead. Express production under 10 days carries a +35% surcharge for the curation and dispatch. The reservation runs on a fourteen-point brief: closing date, deal size, jurisdictions, counsel, bankers, pieces per package, corporate brand manual, isotype colour rules, firm protocol, transmission compliance, freight logistics, post-event donation, SAT invoicing and USMCA compliance when the merch crosses the border.

Salon F-5 frequently asked questions

Can you deliver the closing binder with a receipt signature per jurisdiction?

Yes — we deliver the binder with a receipt per jurisdiction (not per individual lawyer), signed by the firm managing partner or compliance officer, with delivery time and the uniformed staff signature. The chain of custody is documented with photograph when firm protocol allows, and the binder is held in sealed envelopes through the day for return at closing.

Can you handle the merch for transactions that close in series?

Yes — we run series programming with the same corporate brand manual, scaling the run by transaction stage (LOI, due diligence, SPA signing, closing, announcement) and special guests (Wall Street bankers, outside counsel, fund officers). Coordination with the corporate legal office for the editorial curation of the closing binder.

Can you invoice the merch as an M&A expense?

Yes — we issue CFDI 4.0 to the SAT with the 16% IVA breakdown and support for deduction as M&A, Corporate Protocol or Institutional Relations expense depending on how the merch is used. For corporates with IMMEX operations, we handle complementary invoicing in USD with the foreign trade complement and USMCA compliance.

Is Corp-Merch an official partner of Salon F-5 or any law firm?

No. Corp-Merch.MX is an independent curation, production and logistics workshop for merch at cross-border M&A closings and due diligence sessions at Salon F-5 and other Mexico City venues.
