Boardroom E-5: the fintech compliance committee that signs the AML report, and the room already has the manual ready for the new compliance officer

Boardroom E-5 is the council room of a regulated Mexican fintech based in Polanco: 14 seats in a horseshoe, a shielded table for sessions carrying sensitive documentation, an encrypted screen for video calls with external auditors, individual microphones with an anti-recording system, a vault for classified documentation, an adjoining room for the AML officer's meeting, capacity for a 4 to 6-hour session. This is where the compliance committees of CNBV-licensed fintechs sit (Clip, Konfío, Mercado Pago, Ualá, Kuspit, Stori, Bnext), where SOFOM and SOFOM ENR boards run, where the AML (Anti-Money-Laundering) committees of electronic-payment-fund institutions gather, where brokerage-house audit committees sit, and where the IFPE risk committee meets. What defines Boardroom E-5 is not the shielded table; it is the secrecy. The merch is delivered at session close, with a sealed envelope and the compliance officer's signature.

Boardroom E-5 logistics, access and AML-manual custody

Boardroom E-5 operates with a single load-in entry: the fintech's service entrance, which accepts a 3.5-tonne van within restricted hours (generally 7:00 to 10:00 and 17:00 to 20:00). The pedestrian load-in requires prior identification, the fintech's badge, and a signature in the AML-manual logbook; informal access is not allowed. The fintech's operations staff hand over POP material and the officer kits with visible ID and badge. The back-of-house at Boardroom E-5 includes a biometric vault: the classified-documentation room, where high-value merch (printed manuals, encrypted USBs, fountain pens) is kept in sealed boxes bearing the compliance officer's stamp. Boardroom E-5 has no visible kitchen: the fintech's cafeteria sends food through the service corridor, and table service is coordinated with the fintech's operations lead to comply with compliance protocol.

For sessions with external auditor attendance (typically from Big Four, specialised compliance firms, or CNBV), we handle USD invoicing at the Banco de México FIX rate of the day before the event, with USMCA compliance when the fintech operates in the US, and support for deduction as compliance or audit expense in the fintech's fiscal close. For sessions with CNBV or UIF officials, we comply with the fintech's compliance protocol and the regulator's security protocol. The merch custody chain is documented with signature, timestamp, and photograph at every checkpoint: entry to the load-in, review by the fintech's operations personnel, transfer to the vault, restocking during recesses, post-committee collection.

For fintechs with IMMEX operations or partnerships with US banks, we handle complementary SAT invoicing with 16% IVA breakdown and support for deduction as compliance or PR expense. For SOFOM and SOFOM ENR, we handle invoicing in compliance with the business-activities income regime for financial services under Mexican tax law. For fintechs with US operations, we handle bilingual (es/en) invoicing and USMCA compliance when the officer kit crosses the border as part of the hospitality kit for the auditor residing abroad.

Confidentiality, Boardroom E-5 compliance and prohibitions

Boardroom E-5 operates under rules the merch must respect: no mobile-phone use in the room during committee votes (compliance protocol), no merch that creates noise or distraction during the sessions, no backpacks or large bags in the room (AML protocol), no POP material with third-party logos (a frequent request from the officers), no food or beverages outside the fintech's cafeteria service. For sessions that require limited-edition merch (numbered anniversary t-shirt of the AML programme, book signed by the founding officer, paperweight marking the compliance year), we coordinate with the fintech's operations area to ensure the piece complies with compliance protocol, AML-confidentiality protocol, and transmission protocol (when the session is internal and is not recorded, in compliance with the Ley Federal de Protección de Datos Personales en Posesión de los Particulares).

For sessions with media coverage (post-committee press conference, annual compliance-report presentation, new AML-manual launch), we comply with the fintech's press protocol and the compliance officer's disclosure protocol, with pieces carrying no third-party logos or with digital redaction when the fintech's manual requires it. For sessions with internal transmission to the fintech's subsidiaries (sessions transmitted to Mexico City, Guadalajara, or Monterrey offices), we comply with the fintech's transmission protocol with pieces visible on-screen and pieces hidden from transmission. For sessions with live transmission abroad (video call with the parent company's compliance officers in the US), we comply with time-zone rules and ship pieces to the international parent two weeks in advance.

For SAT invoicing, we issue CFDI 4.0 with 16% IVA breakdown and support for deduction as compliance, audit, or PR expense, depending on how the merch is used. For fintechs with IMMEX or US operations, we handle complementary invoicing in USD or EUR with USMCA compliance when the merch crosses the border as part of the hospitality kit. The merch is delivered with carta porte 3.0 when interstate or international transit applies, with the foreign-trade complement when applicable, and with the payment complement when the fintech pays in instalments. Delivery to the vault is documented with an entry slip signed by the fintech's operations lead, the compliance officer, and the AML officer.
