Salon D-1: the room where the Queretaro plant acquisition gets signed and the board kit lands before the morning coffee

Salon D-1 occupies the main floor of a corporate office tower in Polanco: 24 swivelling leather armchairs around an oval mahogany table, an encrypted videoconference suite on a dedicated line, a board rest lounge with fireplace and an adjoining library, an antechamber for guests, a private kitchen with its own service entrance, and two pedestrian accesses: a main one with biometric turnstile and a service one with logbook. This is where industrial groups sign their acquisitions, family conglomerates carve out their spin-offs, IPC-listed issuers launch their public offerings, IMMEX-holding parent companies restructure, CEOs are appointed, dividend policies are debated, shareholder meetings with BlackRock or Vanguard representation are held, and the financial system regulators appear before boards. What separates Salon D-1 from a stately conference room is the cadence of the protocol: the board kit enters before coffee, the minutes signed by the notary exit after lunch, and the international guest merch crosses the border under USMCA compliance so it does not trigger customs withholding.

Salon D-1 logistics, access and notarial custody

Salon D-1 runs on a dedicated service elevator: freight travels up the north-wing service elevator, not the main one; the freight elevator has restricted hours and a notarial logbook. Light freight (staff merch, hospitality, bottled water) goes up the service elevator with visible ID and credential. The corporate protocol staff signs the merch entry and walks the material to the Salon D-1 antechamber, where it is staged on a side table. The board rest lounge has a secure holding area with sealed boxes for the merch that gets handed over at the close of the day, and the adjoining library has a locked cabinet for protocol gifts handed out outside board hours. The notary who attests to the minutes has a dedicated signing area, with separate desk and paperwork on security paper.

For sessions with international guest presence (European or Asian pension fund LPs, investment banking partners, outside counsel from the US or Canada), we handle invoicing in USD at the Banco de Mexico FIX rate from the day before delivery, with USMCA compliance when the merch crosses the border, and support for deduction as Corporate Protocol expense or Institutional Relations expense in the corporate fiscal close. For sessions with SAT, UIF or CNBV officials in attendance, we handle compliance with the corporate security protocol and the Policia Bancaria e Industrial protocol when applicable. The chain of custody is documented with signature, time stamp, photo and seal number at every checkpoint.

Salon D-1 confidentiality, compliance and restrictions

Salon D-1 enforces protocol rules the merch must respect: phones off at the board table during votes, no merch with noise or visual distraction elements, no backpacks or bags inside the room (attendees use the floor cloakroom), no POP material carrying third-party logos (boards work under NDA and merch is handed out after the minutes are signed), no outside food or beverages beyond the corporate kitchen service. For sessions that require limited-edition merchandising (50th anniversary plaque of the corporation, book signed by the outgoing CEO, paperweight stamped with the merger signing year), we coordinate with the corporate protocol office to ensure the piece clears the security protocol, the notarial protocol and the compliance protocol when the director signs under power of attorney.

For SAT invoicing we issue CFDI 4.0 with the 16% IVA breakdown and support for deduction as Corporate Protocol, Institutional Relations or Board Care expense depending on how the merch is used. For corporates with IMMEX operations or US market exposure, we handle complementary invoicing in USD with USMCA compliance support when the board kit crosses the border as part of the LP care material resident abroad. For groups with dual listings (BMV and NYSE/Nasdaq), we handle bilingual (es/en) invoicing and carta porte 3.0 with the foreign trade complement when the merch ships internationally. The payment complement applies when the corporate pays in instalments or when delivery happens against a notarised minutes signature.
