Salon C-3: the room where the deal closes, the SPA gets signed and the partner kit lands before the notary

Salon C-3 sits on the 22nd floor of the Reforma-Cuauhtémoc corridor where M&A negotiation tables run signings, due diligence and corporate transaction closings: 12 horseshoe-arranged seats with a continuous table, a lectern for the transaction director, a six-metre LED screen with simultaneous contract projection (SPA, APA, SHA, JV agreement as applicable), an annexed room with a secure phone line for calls with the regulators, a sealed chamber for the contract originals and a closed kitchen with discreet service. This is where BMV-listed corporates close their deals, where IMMEX subsidiaries sell to a US fund, where asset purchases cross the border under USMCA, where Mexican groups merge and where Asian joint ventures land. What separates Salon C-3 is the signing ritual: the partner kit enters before the notary, exits sealed by each party at close, and lets the public archivist file the deed without the merch pulling attention from the SPA signature.

Salon C-3 logistics, access and custody

Salon C-3 operates with an independent 22nd-floor freight dock: the side dock takes a 3.5-tonne van on a restricted shift. Access requires pre-registration, a complex-issued badge and a signed floor log; the contract originals are moved straight from the dock to the sealed chamber without going through the lobby. The Salon C-3 operations team delivers the table material with visible ID and is responsible for safeguarding the material not delivered to the floor chamber. The annexed room with a secure phone line is used for calls with the CNBV, with COFECE where applicable, or with the notary when the signing needs real-time consultation.

For signings with international counterparties (typically from the US, Canada, Europe, Asia and Latin America), we invoice in USD at the Banco de México FIX exchange rate of the day before, with USMCA compliance and support for deduction as a Legal Advisory or M&A expense in the corporate fiscal close. For signings with public officials present where the deal requires regulatory notification, we comply with the complex security protocol and with the Bancaria e Industrial police protocol where applicable. The merch custody chain is documented with signature, time and seal at each control point: dock intake, operations inspection, transfer to the sealed chamber, delivery to the transaction director, recess restocking, post-signing pickup, return of surplus to the corporate.

Salon C-3 confidentiality, compliance and prohibitions

Salon C-3 has operating rules the merch must respect: no mobile phone use in the room during the SPA signature, no merch items that would compromise deal confidentiality, no backpacks or bags in the room (lawyers use the sealed chamber for their gear), no POP material bearing counterparty logos when the deal is subject to confidentiality, no food or beverages other than the 22nd-floor kitchen service. For signings requiring limited-edition merchandising (CEOs-signed book, deal anniversary paperweight, SPA year plaque), we coordinate with the complex operations area to make sure the piece complies with the security protocol, the press protocol when the signing is public, and the archival protocol when the deal crosses the border under USMCA.

For SAT invoicing we issue CFDI 4.0 with 16% IVA breakdown and support for deduction as a Legal Advisory, M&A or Investor Relations expense, depending on the merch use. For corporates with IMMEX or US operations we issue complementary invoicing in USD or EUR and support USMCA compliance when the table kit crosses the border as part of the parent's legal archive. For groups with dual listing (BMV and NYSE/Nasdaq) we issue bilingual (es/en) invoicing and USMCA compliance when the signing material crosses the border as part of the parent's compliance archive. The merch ships with carta porte 3.0 when interstate or international transit applies, with the foreign trade complement where applicable, and with the payment complement when the corporate pays in instalments.
