Salon C-2: where the audit committee reviews the SAT findings and the external firm signs the opinion before the recess

Salon C-2 sits on the 14th floor of the tower where the audit and compliance committees of BMV-listed corporates and IMMEX subsidiaries meet quarterly: nine horseshoe-arranged seats with a continuous table, a lectern for the committee chair, a four-metre LED screen with simultaneous opinion projection, an annexed room with a secure phone line for calls with the CNBV and with the external auditor, a sealed chamber for restricted files and a closed kitchen for contact-free coffee breaks. This is where the external audit opinions are signed (KPMG, PwC, EY, Deloitte, BDO, Mancera, Sánchez Mejorada where applicable), where the SAT findings are reviewed before the home visit, where the UIF anti-money-laundering policies are approved, where the internal control observations are graded, where the next year internal audit plan is ratified and where the external auditor fees are approved. What separates Salon C-2 is the restricted file protocol: the committee merch is delivered with formal sign-off to the chair and the secretary, and the remaining material is held in a sealed chamber with a documented custody chain.

Salon C-2 logistics, access and custody

Salon C-2 operates with an independent 14th-floor freight dock: the side dock takes a 3.5-tonne van on a restricted 7:00 to 19:00 shift. Access requires pre-registration, a complex-issued badge and a signed floor log; the restricted material is moved straight from the dock to the sealed chamber without going through the lobby. The Salon C-2 operations team delivers the committee material with visible ID and is responsible for safeguarding the material not delivered to the floor chamber. The annexed room with a secure phone line is used for calls with the CNBV, the BMV or the external auditor when the session needs real-time consultation.

For audit committee sessions with the international external firm (typically from the US, Canada, Europe and Asia), we invoice in USD at the Banco de México FIX exchange rate of the day before, with USMCA compliance and support for deduction as an Audit or Compliance expense in the corporate fiscal close. For sessions with the CNBV or UIF present, we comply with the complex security protocol and with the Bancaria e Industrial police protocol where applicable. The merch custody chain is documented with signature, time and seal at each control point: dock intake, operations inspection, transfer to the sealed chamber, delivery to the committee chair, recess restocking, post-event pickup, return of surplus to the corporate.

Salon C-2 confidentiality, compliance and prohibitions

Salon C-2 has operating rules the merch must respect: no mobile phone use in the room during the opinion reading, no merch items that would compromise committee confidentiality, no backpacks or bags in the room (committee members use the sealed chamber for their personal gear), no POP material bearing third-party logos when the committee discusses external firm findings, no food or beverages other than the 14th-floor kitchen service. For sessions requiring limited-edition merchandising (academic-signed book, opinion anniversary paperweight, policy year plaque), we coordinate with the complex operations area to make sure the piece complies with the committee security protocol.

For SAT invoicing we issue CFDI 4.0 with 16% IVA breakdown and support for deduction as an Audit, Compliance or Corporate Governance expense, depending on the merch use. For corporates with IMMEX or US operations we issue complementary invoicing in USD or EUR and support USMCA compliance when the committee kit crosses the border as part of the parent's audit archive. For groups with dual listing (BMV and NYSE/Nasdaq) we issue bilingual (es/en) invoicing and USMCA compliance when the committee material crosses the border as part of the SOX compliance archive. The merch ships with carta porte 3.0 when interstate or international transit applies, with the foreign trade complement where applicable, and with the payment complement when the corporate pays in instalments.
