Salon C-1: the room where the board approves the budget, signs the minutes and carries the kit to dinner with the regulator

Salon C-1 sits on the 38th floor of a corporate tower in the Polanco-Lomas corridor of Mexico City: 14 leather high-back seats with individual electronic voting pads, a six-metre mahogany table with flush-mounted microphones, a five-metre LED screen with simultaneous projection, a lectern for the board chair, an annexed room for the independent director who needs a private call, a hidden kitchen with discreet table service, and an anteroom where the merch waits in a sealed chamber until the recess. This is where, four times a year, the boards of directors of BMV-listed groups gather, where the boards of IMMEX subsidiaries with US parents meet, where the boards of SOFOM entities reporting to the CNBV convene, where the boards of family-owned companies in governance transition hold their sessions, and where private investment vehicles based in CDMX run their committee meetings. What separates Salon C-1 from the panoramic boardroom is the ritual of the meeting itself: the director kit has to enter before coffee, exit signed for by each member at close of session, and let the corporate secretary archive the minutes without the merch pulling anyone's attention away from the agenda.

Salon C-1 logistics, access and custody

Salon C-1 shares its freight dock with floors 36, 37 and 39 of the tower: the east-side dock accepts a 12-tonne trailer on a restricted shift, and the 3.5-tonne van has its own loading ramp on the west side. Cargo access requires pre-registration, a complex-issued badge and a signed log entry; there is no informal access and no entry through the main lobby. The Salon C-1 operations team delivers the POP material and the director kits with visible ID and badge, and handles restocking during coffee recesses. The back-of-house of Salon C-1 has two areas: the anteroom (where the director kit is staged and signed for by director) and the sealed chamber (where the rest of the merch is stored in corporate-sealed and combination-locked boxes).

For board meetings with international directors (typically from the US, Canada, Europe and Latin America), we invoice in USD at the Banco de México FIX exchange rate of the day before the event, with USMCA compliance and support for deduction as a Corporate Governance expense in the corporate fiscal close. For meetings with regulators present (CNBV, Banxico, SAT when the meeting touches tax matters, UIF when the meeting touches anti-money-laundering matters), we comply with the complex security protocol and with the Bancaria e Industrial police protocol where applicable. The merch custody chain is documented with signature, time and photograph at each control point: dock intake, operations inspection, anteroom delivery, recess restocking, post-event pickup, return of surplus to the corporate.

Salon C-1 confidentiality, compliance and prohibitions

Salon C-1 has operating rules that the merch must respect: no mobile phone use in the room during board votes, no merch items that generate noise or distraction, no large backpacks or bags in the room (directors leave their gear in the anteroom), no POP material bearing third-party logos when the board discusses a transaction subject to confidentiality, no food or beverages other than the 38th-floor kitchen service. For meetings requiring limited-edition merchandising (numbered anniversary t-shirt, author-signed book, paperweight bearing the issuance year), we coordinate with the complex operations area to make sure the piece complies with the security protocol, the press protocol when the meeting is public, and the transmission protocol when the meeting is rebroadcast to the market via the BMV.

For SAT invoicing we issue CFDI 4.0 with 16% IVA breakdown and support for deduction as a Corporate Governance, Investor Relations or Corporate Communications expense, depending on the merch use. For corporates with IMMEX or US operations we issue complementary invoicing in USD or EUR and support USMCA compliance when the director kit crosses the border as part of the disclosure materials for the foreign-resident independent director. For groups with dual listing (BMV and NYSE/Nasdaq) we issue bilingual (es/en) invoicing and USMCA compliance when the board materials cross the border as part of the parent's corporate governance archive. The merch ships with carta porte 3.0 when interstate or international transit applies, with the foreign trade complement when applicable, and with the payment complement when the corporate pays in instalments.
