Salon B-1: the room where the board approves the Saltillo plant acquisition and nobody takes the guard down

Salon B-1 is the room reserved for board of directors sessions of issuers listed on the Mexican Stock Exchange (BMV) inside the Polanco-Lomas corporate corridor: oval table seating 11 directors plus a dedicated videoconference system, a 4-metre perimeter display for board annex presentations, encrypted electronic voting with audit trail, high-back leather chairs, Class A acoustic insulation, biometric two-factor access (fingerprint + corporate badge), adjacent waiting room for special guests, notary signing room, mirrored videoconference room for board members joining remotely from Monterrey, Madrid or Bogota. This is where the BMV-listed issuer boards of directors meet four times a year: ordinary quarterly sessions, extraordinary sessions for related-party transaction authorisation, audit committee sessions, corporate practices and compensation committee sessions, finance and risk committee sessions. What sets Salon B-1 apart from a flashy ballroom is the formality chain: the session must be prepared with minutes reviewed by the notary, quorum verified by the corporate secretary, supporting documentation delivered five business days in advance to each director, and the director kit ready 45 minutes before the session without the merch distracting from the agenda or compromising the confidentiality of the session.

Salon B-1 logistics, access and chain of custody

Salon B-1 runs on a freight dock independent of the press rooms and event halls: the rear dock accepts 1.5-ton box trucks within restricted hours from 06:00 to 10:00, with prior supplier identification, campus credential and logbook signature with facial recognition. There is no informal access to Salon B-1: campus operations staff escorts the supplier at all times, and the load is moved to the board store with corporate security escort. Salon B-1's back-of-house has three areas: the director waiting room (where coffee is served before the session), the notary room (where minutes are signed at session close) and the board store (where merch sits in sealed boxes bearing the corporate seal with key held by the corporate secretary). For directors joining remotely from Monterrey, Madrid, Bogota or Mexico City, we handle international shipping via DHL Express or UPS with cargo insurance, recipient signature and email confirmation of delivery.

For board sessions with directors resident abroad (typically the US, Canada, Spain and the UK), we handle invoicing in USD at the Banco de Mexico FIX rate from the day before the shipment, with USMCA compliance and support for deduction as Corporate Governance or Board of Directors expense in the corporate fiscal close. For board sessions with CNBV or BMV representatives, we handle compliance with the campus security protocol and the regulator's security measures when applicable. The merch chain of custody is documented with signature, timestamp, photo and facial recognition at every checkpoint: dock entry, operations inspection, transfer to the board store, director signature upon receiving their folder, restocking during recesses, post-session pickup.

Salon B-1 confidentiality, compliance and restrictions

Salon B-1 enforces operating rules the merch must respect: no unauthorised recording devices, no merch with noise or distraction elements during the session, no large backpacks or bags inside the room (directors leave their personal items in the waiting room), no POP material carrying third-party logos, no outside food or beverages beyond campus catering, no merch leaving Salon B-1 without written authorisation from the corporate secretary. For board sessions approving related-party transactions, mergers, acquisitions or debt issuances, we coordinate with the corporate secretary to ensure the merch clears the confidentiality protocol, the material non-public information protocol and the disclosure protocol when the operation is published to the stock market before or after the session.

For SAT invoicing we issue CFDI 4.0 with the 16% IVA breakdown and support for deduction as Corporate Governance, Board of Directors or Board Support Committee expense depending on how the merch is used. For corporates with IMMEX operations or dual listings (BMV and NYSE/Nasdaq), we handle complementary invoicing in USD or EUR with USMCA compliance when the director kit crosses the border as part of the disclosure material for directors resident abroad. For groups with operations in Turkey or Russia (through minority stakes or joint ventures), we handle complementary invoicing in TRY or RUB with compliance with local invoicing and foreign exchange regulations. Merch is delivered with carta porte 3.0 when interstate or international transit applies, with the foreign trade complement when applicable, and with the payment complement when the corporate pays in instalments.
