Board Room — where the minutes are signed, the session is adjourned, and the Mexican corporate commits to next year's numbers

The Board Room is not a conventional event venue. It is a formal space, capacity 12 to 22, where board of directors sessions, audit committee meetings, corporate practices committee meetings, and formal shareholder assemblies of Mexican corporates are held. The Board Room typically sits inside the corporate itself (on an executive floor separated from operations, with controlled access and CCTV), or in a five-star hotel with a board-certified room for corporate governance sessions (which in México meet the requirements of the Securities Market Law and the CNBV Single Circular when applicable). The décor is austere: oval or rectangular table, leather chairs, one artwork, videoconference system, results-presentation screen. The merch delivered in the Board Room has to pass the formality test: impeccable presentation, no unnecessary decorative elements, no third-party logos (unless expressly authorised by the corporate secretary), strict compliance with the corporate manual and the board confidentiality protocol.

Board Room logistics, access and custody

The Board Room operates with one or two load-in accesses depending on location: when inside the corporate, access is via the service freight elevator or the supplier entrance with restricted hours; when in a five-star hotel, access is via the hotel's service corridor with prior identification and signature in the logbook. Delivery is typically during a 7:00 to 10:00 window (before the morning session) or 14:00 to 17:00 window (before the afternoon session). There is no extended mounting window: material is staged in an auxiliary room and installed on the Board Room table during attendant shift change.

For board sessions with international independent directors (typically from the US, Europe or Asia, at Mexican groups listed on BMV and NYSE or Nasdaq), we invoice in USD at the Banco de México FIX rate of the day before the event, with USMCA compliance and SEC compliance support when the corporate has ADRs listed in the US. For sessions attended by public officials, diplomatic corps, or guests with escort, we comply with the Board Room security protocol and the Banca y Industrial Police when applicable. The merch chain of custody is documented with signature, time, and (where the board protocol allows) discreet photography at each control point: service entry, inspection by operations staff, transfer to auxiliary room, restocking during breaks, post-session collection.

For corporates with IMMEX or US invoicing, we provide complementary SAT invoicing with 16% IVA breakdown and support for deduction as Corporate Governance or Public Relations expense. For industrial groups with US operations, we provide bilingual (es/en) invoicing and USMCA compliance when the boardkit crosses the border as part of the hospitality kit for the director residing abroad. For family offices and investment vehicles, we invoice under the business-activities-with-income-from-participation regime.

Board Room confidentiality, prohibitions and compliance

The Board Room has operating rules the merch must respect: no mobile phones during voting, no merch with noise or distraction elements, no large backpacks or bags in the room, no POP material with third-party logos (frequently requested by corporates and required by the Securities Market Law when applicable), no food or beverage outside the Board Room or hotel table service. For sessions requiring limited-edition merch (numbered anniversary polo, signed book by the guest author, press with the fiscal year), we liaise with the Board Room operations team and the corporate secretary's office to ensure the piece complies with the security protocol, the confidentiality protocol, and the legal protocol (when the session is public before the CNBV or the shareholder assembly).

For sessions broadcast to the shareholder assembly or to the corporate's plants, we comply with the broadcast protocol with screen-visible and broadcast-hidden pieces. For sessions attended by the external auditor (typically Deloitte, PwC, KPMG or EY for large Mexican corporates), we comply with the audit protocol with discreet pieces and load-in logistics synchronised with the audit opinion delivery. For sessions attended by the regulator (CNBV, Banxico, CONDUSEF, COFECE when applicable), we comply with the regulator and corporate protocol, with pieces delivered in sealed envelope at the start and mandatory collection at the end.

For SAT invoicing, we issue CFDI 4.0 with 16% IVA breakdown and support for deduction as Corporate Governance, Public Relations, or Training expense, depending on the merch use. For corporates with IMMEX or US operations, we provide complementary invoicing in USD or EUR and USMCA support. The merch is delivered with carta porte 3.0 when interstate or international transit applies, with foreign trade complement when applicable, and with payment complement when the corporate pays in instalments.
