Board meeting and shareholder assembly merch in Mexico: the leather-bound minute book, the executive gift and the bound annual report that hold Mexican corporate governance together

The Mexican board meeting and shareholder assembly run on a protocol the corporation learns through CNBV (Comisión Nacional Bancaria y de Valores) and BMV (Bolsa Mexicana de Valores) observations: the minute book bound in leather with the registration of every session, the annual report with the corporate seal, the executive gift for the board member or shareholder concluding their term, the institutional folder with audited financial statements, and the attendee kit for the guest attending the board for the first time. The difference between a meeting that complies with corporate governance and one that gets flagged for non-compliance comes down to curation of the official piece and the traceability of the document. We serve board meetings, ordinary and extraordinary shareholder assemblies, investor days and audit-committee and corporate-practices-committee sessions for public (BMV, BIVA) and private corporations across CDMX, Monterrey, Guadalajara, Puebla, Querétaro and the rest of the country. CFDI 4.0 invoicing, Carta Porte 3.0, IVA 16% VAT, deductible as governance or investor-relations expense.

Corporate governance regime, protocols and meeting-type curation

Piece curation runs through the Corporate Secretary, the Investor Relations Director and the corporate legal area. For public corporations listed on the BMV or BIVA we follow the CNBV regime: minute book with LGSM compliance, annual report with the CNBV and BMV format (sections 1 to 6), annual report with the corporate best-practices code, investor day with streaming transmission for institutional investors. For private corporations we follow the LGSM regime and the corporate bylaws.

For the ordinary annual shareholder assembly we run: previous-year minute book, annual report, board report, voting proposals (director appointment, dividend distribution, bylaw modification, auditor designation), institutional folder with all materials. For the extraordinary assembly we also run: text of the proposed bylaw modifications, external auditor opinion, appraisal of the assets subject to the operation and legal opinion from the external law firm.

For board-of-directors sessions we run: detailed agenda, CEO presentation, audit-committee, compensation-committee and corporate-practices-committee reports, approval proposals, preliminary minutes and complementary materials. For investor days and analyst sessions we run: institutional presentation, welcome kit for invited analysts, streaming transmission, transcript and complementary materials.

Venue logistics, transmission and protocol

Meeting logistics coordinates with the Corporate Secretary, the corporate logistics operator and the venue. For CDMX meetings we work with venues like the corporate offices (Torre Reforma, Torre BBVA, Torre Virreyes, Torre Bosques), Club de Banqueros, Hotel Four Seasons, Hotel St. Regis, and the BMV for stock-issuance events. For Monterrey: corporate offices (Torre Helicon, Torre Avalanz), Hotel Safi, Pabellón M. For Guadalajara: corporate offices, Hotel Hilton Midtown. For Puebla and Querétaro: corporate offices or the host hotel.

Meeting protocol follows the Ley General de Sociedades Mercantiles and the corporate bylaws. The call is published with the notice period established in the bylaws (typically 15 calendar days for ordinary assembly, 5 days for extraordinary). Quorum is verified at the start of the session and recorded in the minute book. Votes are taken by economic vote or by show of hands per the bylaws, and recorded in the minute book with each shareholder name and vote count. The streaming transmission for institutional investors operates with encrypted platform and access token.

Invoicing closes with CFDI 4.0 to the SAT, Carta Porte 3.0 for interstate shipments, IVA 16% VAT breakdown, deductible as governance or investor-relations expense. For corporations with border operations we also invoice in USD under USMCA. For IMMEX clients we handle dollar-account invoicing.
