Final board meeting: the kit that carries the year-end close, the minute signature and the farewell of the rotated director

The year-end final board meeting in the Mexican corporate functions as the last ordinary session before fiscal close and the annual shareholders' assembly. Here the annual report is voted, the minute notarised by a public notary is signed, the dividend distribution or retained earnings is approved, the outgoing director is rotated and the incoming director is introduced. A poorly organised final meeting ends with the minute signed late at the notary, the outgoing director without formal recognition, and the corporate dragging an open item in the minute book that the next external audit will flag as an observation. The professional final meeting runs on five layers we hold in workshop: the annual report booklet bound in leather with gold seal, the notarised minute on security paper, the director's folder with updated credential and engraved plaque, the outgoing director's kit with curated gift and the recognition piece for the rotation. We work with corporates in Mexico City, Guadalajara, Monterrey, Querétaro, Mérida and Puebla. Invoicing through CFDI 4.0 to SAT, 16% VAT, deductible as Corporate Governance or Investor Relations expense.

For directors with annual base compensation up to MXN 1,200,000 we run gifts from MXN 25,000 to 60,000: Tissot or Fossil watch, Montblanc pen, premium headphones, signed art book, handcrafted ceramic piece from Tonalá or Oaxaca. For directors with annual base compensation MXN 1,200,000 to 3,500,000 we run gifts from MXN 60,000 to 180,000: Tag Heuer or Longines watch, limited-edition Montblanc pen, iPad Pro, Tumi luggage, domestic trip to Punta Mita or Valle de Guadalupe with paid stay.

For directors with annual base compensation above MXN 3,500,000 we run gifts from MXN 180,000 to 600,000: Breguet or Blancpain watch, contemporary Mexican art piece (emerging artist from OMR or Kurimanzutto gallery, work commissioned from the artist), international trip with paid stay, dining experience at Pujol or Quintonil, restricted company shares with three-year vesting. The gift ships with no visible price to avoid comparisons between directors and is documented with a personalised letter on hot-stamped card stock signed by the board chair and the CEO.

The annual report is written with the Investor Relations team and is structured with: chair's letter, executive summary, segment-by-segment results analysis, sustainability and ESG, material risks, corporate governance and audited financial statements. For corporates under the IMMEX regime or with manufacturing operations under USMCA, the report includes a chapter on rules-of-origin compliance and traceability. For corporates in regulated sectors (energy, telecommunications, financial), the report includes a chapter on specific regulatory compliance.

Logistics, notary protocol and data handling

The final meeting logistics are coordinated with the board secretary and the venue maître. The room is set up with an oval or rectangular board table with corporate-tone tablecloth, leather-engraved chair covers with the director's name, video conferencing system for remotely attending directors, table microphone with audio recording, vinyl-cut corporate logo panel and a discreet floral centrepiece. The public notary sits to the right of the board chair with the public faith of the minute. The session is documented with encrypted recording for the corporate archive.

For meetings in Mexico City we run venues such as Club de Industriales, Hotel Four Seasons, Torre Virreyes, Torre Reforma and Centro Citibanamex. For Guadalajara: Hotel Hilton Midtown and Club de Empresarios. For Monterrey: Hotel Safi and Pabellón M. For Querétaro: Hotel Fiesta Americana and Centro de Congresos. For Mérida: Hotel Hacienda Xcanatún and Hotel Rosas & Xocolate. For Puebla: Hotel Cartesiano and Museo Barroco. The venue is quoted separately with the corporate and is booked 45 days in advance considering year-end fiscal availability.

Director data handling complies with the LFPDPPP (Federal Law for the Protection of Personal Data Held by Private Parties): the director's data is used solely for the credential, folder, gift and ceremony, is not shared with third parties outside the corporate, is deleted from our systems 90 days after the event, and the director may request early deletion through the privacy notice published on the corporate site. Invoicing is issued through CFDI 4.0 to SAT with 16% VAT breakdown, ISR withholding when applicable for taxed gifts, and deduction support as a Corporate Governance or Investor Relations expense.
